Terms of Service

01Acceptance of terms

By creating an account or using any part of the Levrage platform, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and if acting on behalf of a company, are authorised to bind that company.

02Description of services

Levrage provides AI-powered voice agent software that enables businesses to automate and manage inbound and outbound telephone interactions. Services include, but are not limited to, voice agent deployment, call recording and transcription, CRM integrations and analytics (collectively, the "Services").

We reserve the right to modify, suspend or discontinue any part of the Services at any time. We will provide reasonable advance notice of material changes.

03Account responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us immediately at support@levrage.ai if you suspect unauthorised access to your account.
• You must provide accurate and up-to-date registration information. Accounts created with false information may be terminated.
• One account per business entity. You may not share login credentials across organisations.

04Acceptable use

You agree not to use the Services to:

• Violate any applicable law, regulation or third-party rights, including telemarketing and do-not-call regulations.
• Make calls or send messages without appropriate consent from the recipients where required by law.
• Harass, threaten, deceive or defraud any person.
• Transmit unsolicited bulk communications (spam).
• Interfere with or disrupt the integrity or performance of the Services or related infrastructure.
• Attempt to gain unauthorised access to any system, data or account.
• Reverse-engineer, disassemble or attempt to extract the source code of the Services.
• Use the Services in any manner that could expose Levrage or third parties to legal liability.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

05Payment and billing

• Fees are charged according to the plan you select. Current pricing is available at levrage.ai/pricing.
• Subscriptions are billed in advance on a monthly or annual cycle. Usage-based charges are billed in arrears.
• All fees are non-refundable except as expressly stated in our refund policy or required by applicable law.
• We may update pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.
• Overdue amounts accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.

06Intellectual property

The Services, including all software, algorithms, models, interfaces and content created by Levrage, are owned by or licensed to Levrage AI Labs Private Limited and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes.

You retain all rights to data and content you upload or generate through the Services ("Your Content"). You grant Levrage a limited licence to process Your Content solely to provide and improve the Services.

07Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is or becomes publicly known through no breach of these Terms, or that is independently developed without use of the other party's confidential information.

08Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVRAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION.

09Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEVRAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LEVRAGE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) INR 10,000.

10Indemnification

You agree to indemnify, defend and hold harmless Levrage and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, Your Content, or your violation of these Terms or any applicable law.

11Term and termination

These Terms remain in effect while you use the Services. You may terminate your account at any time from your account settings or by contacting us. We may suspend or terminate your access immediately for violation of these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to use the Services ceases immediately. Sections 6, 8, 9, 10, 12 and 13 survive termination.

12Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Indian Arbitration and Conciliation Act, 1996.

13General

• Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and Levrage regarding the Services.
• Severability — if any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
• Waiver — failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment — you may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
• Changes — we may update these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use constitutes acceptance.
